On 1 September 2026, ASNP Law Office had the privilege of delivering a legal presentation to PT Garuda Indonesia (Persero) Tbk on “Business Judgment Rule in Indonesia.”
Led by our Senior Partner, Andreas Hartono, SH., LL.M, MCIArb, with Aufa Auladi and Adryan Tando, Senior Associates, as speakers, the session explored the application of the Business Judgment Rule (BJR) under Indonesian law, particularly within the context of State-Owned Enterprises (BUMN).
The discussion covered key aspects of BJR, including directors’ and commissioners’ responsibilities, corporate governance and internal decision-making processes, the evolving legal framework applicable to BUMN, as well as the intersection between business decisions, corporate losses, and potential legal liability. The session also examined several landmark court decisions to provide practical perspectives on how BJR has been considered and applied in Indonesia.
